Terms of Service

“Celerium Ltd” refers to the legal entity. “OOGA” refers to the non-custodial trading platform operated by Celerium Ltd. “We”, “us”, or “the Service” refer to OOGA unless otherwise stated.
1. Eligibility
You must be at least 18 years old or the age of majority where you live, whichever is higher. You confirm you are not in a restricted location and not subject to sanctions prohibitions.
2. Service; non-custodial
We provide a non-custodial Solana trading interface and related tools. You control your keys (via Turnkey or compatible wallets). You authorize on-chain programs to act per your instructions. On-chain transactions are irreversible. We do not hold or custody user funds at any time.
3. Fees
Platform fee: 1% on transactions routed through our interface.
Network/priority/bribe fees: set by you or third parties and not paid to us.
Refunds: on-chain transactions are final. We may refund our platform fee only if a verifiable platform error caused a duplicate charge.
4. Prohibited uses
Sanctions evasion; market manipulation/wash trading/spoofing; exploit use; scraping; reverse engineering; circumvention of geoblocks; spam/abuse; IP infringement; automated queries that degrade service.
5. Accounts, API, and fair use
5.1 Accounts & authentication
Access via wallet connect and/or an optional account using Google OAuth (scopes: openid, email, profile). We never see your Google password. You’re responsible for your account. No sharing or resale. Report compromise promptly.
Profiles. You may set a username and profile picture. We display your username, profile picture, and basic stats/progression to other users (leaderboards, referral pages). No impersonation or infringing/offensive content. We may remove or modify profile content.
5.2 Wallets
Trading on OOGA is non-custodial. You control your keys. We cannot recover private keys.
5.3 API access
API keys are required, non-transferable, and revocable. No formal rate limits. We may throttle or disable keys to protect service stability.
5.4 Fair use
No scraping, reverse engineering, spam, or degraded service. No bypassing geoblocks, automated account creation, or fabricated volume (wash/Sybil/spoofing). We may rate-limit, block, or terminate to enforce fair use.
6. Third-party services & TradingView
6.1 General
The Service uses third-party services for infrastructure, market/chain data, routing/aggregation, wallet tooling, identity (OAuth), hosting, monitoring/metrics, and error reporting. These services are outside our control and may affect availability or performance.
6.2 TradingView
Charts are provided via the TradingView charting library and related APIs from TradingView, Inc. (“TradingView”). TradingView content is provided as is and may be delayed or inaccurate. Use of the charts is subject to TradingView’s terms and policies. TradingView branding/links appearing in the interface must not be removed or obscured.
6.3 No endorsement
References to TradingView are for attribution only and do not imply sponsorship or endorsement.
6.4 Restrictions (TradingView content)
You may not scrape, mine, frame, mirror, reverse-engineer, decompile, bypass security, remove proprietary notices, or redistribute TradingView content commercially unless you hold a separate license from TradingView.
6.5 Data sources
Market/chain data shown in TradingView charts is supplied by us and/or our data vendors; compliance with any applicable exchange or third-party data rules is your responsibility.
7. Promotions & referrals
7.1 Referral program
Rebates are paid only from our 1% platform fee. Rates: L1 30%, L2 3%, L3 2%. A +5% L1 boost unlocks via the in-app progression system and remains permanent unless obtained by fraud/abuse. Payouts are in SOL; users self-claim from the progression dashboard; minimum claim 0.02 SOL. Self-referrals are banned. Sybil/wash/spoofing void rewards. We may withhold/deny/claw back within 30 days for abuse, error, or breach. We may change or end the program. Progression ranks and achievements are cosmetic and informational only. They do not represent financial value or rights.
7.2 Cashback System
OOGA offers a Cashback system credited from our platform fee. Unless otherwise stated:
Base Cashback rate: 25%
Referral signup bonus: +10% when the user creates an account via a valid referral link
Progression boost: +5% when unlocked through the in-app progression system
Cashback is displayed and claimable via the progression dashboard. Cashback, progression, and related earnings have no cash value until claimed and are non-transferable. All promotional metrics and account-level rates are computed by the Service and may be corrected, rebalanced, or adjusted to reflect program updates, account status, detected abuse, or operational changes. Eligibility, rates, accrual logic, display, and payout rules may be modified or discontinued at any time without prior notice.
7.3 Weekly giveaway
We may pause, modify, or cancel the giveaway at any time.
Giveaways are discretionary and not guaranteed.
Participation does not confer any legal right or obligation beyond these terms
8. Disclaimers & risks
No investment, tax, or legal advice. Risks include price volatility, smart-contract bugs, failed or partial fills, slippage, MEV, forks/upgrades, Solana or RPC outages, oracle/pricing issues, and third-party protocol failures. You are responsible for taxes. Use of on-chain programs involves risk. We do not warrant their security or uptime, and are not liable for loss due to bugs, upgrades, forks, exploits, or any smart contract failure.
9. IP; feedback; user content
We own the platform, code, content, and marks. You retain rights in your content and grant us a license to display it (e.g., leaderboard names). You grant us a worldwide, non-exclusive, royalty-free license to host, display, and distribute your profile elements (username, profile picture) and stats/progression in connection with the Service. You grant a royalty-free license to use feedback.
10. Suspension & termination
We may suspend or terminate immediately for violations, fraud/abuse, legal or sanctions risk, or security reasons. IP, disclaimers, limitations, indemnity, and disputes survive termination.
11. Changes
We may update the Service or these Terms. Material changes will be announced. Continued use after the effective date means acceptance.
12. Warranties & limitation of liability
The Service is provided “as is” and “as available.” We disclaim all warranties to the fullest extent permitted by law. Our aggregate liability is capped at the greater of USD 100 or the fees you paid to us in the prior 3 months. No indirect, incidental, special, consequential, or punitive damages.
13. Indemnity
You will indemnify us against claims arising from your use, your violations of these Terms, or third-party rights infringements.
14. Governing law & disputes
Governing law: British Virgin Islands. Arbitration: binding arbitration under BVI IAC Rules, seat BVI, English, one arbitrator, remote hearings by default, confidential. Class-action and jury-trial waivers apply. Carve-outs: injunctive relief (e.g., IP/security) and eligible small-claims matters may proceed in court. Informal resolution: email a Notice of Dispute to [email protected] and wait 30 days before filing.
15. Export & compliance
You must comply with applicable export, sanctions, and anti-money-laundering laws.
16. Restricted locations
Use is prohibited in or by residents of: Cuba, Iran, North Korea (DPRK), Russia, Belarus, and the following regions of Ukraine occupied by Russia: Crimea (including Sevastopol), Donetsk, Luhansk, Kherson, and Zaporizhzhia. We may update this list without notice.
17. Miscellaneous
No partnership/agency; assignment permitted by us; severability; force majeure; entire agreement; headings for convenience only.
